AGREEMENT FOR CONFIDENTIALITY OF INFORMATION AND BAR AGAINST COMPETITIVE USE OF INFORMATION

ABC, Inc. (ABC) agrees to provide access to XYZ, Inc. (XYZ, INC.) and its agents and advisors to certain information concerning ABC’S past, current and proposed business activities, including, but not limited to, intellectual property, financial information, customer and prospect names or lists, research, development, proposed products, product concepts, products manufacturing and testing. In consideration of this access to such information or any material part thereof, XYZ, INC. agrees to evaluate a possible transaction between ABC and XYZ, INC.

All evaluation material and information furnished to XYZ, INC. by ABC, whether written or oral, shall be and remain the property of ABC, and shall be considered confidential information. XYZ, INC. shall use such material and information solely for the purpose of such evaluation; shall not use the same to compete against ABC, or against any of its successors in interest, be the same an individual or a business organization; and shall not use the same for any other purpose which is detrimental to ABC or any such successor in interest. XYZ, INC. shall take all reasonable measures to prevent the unauthorized disclosure of any such material and information to third parties.

Any breach of this agreement by either party shall result in irreparable damage to the other party, whereby the damaged party shall be entitled to injunctive relief with respective to such breach.

This agreement contains the entire agreement between the parties, with respect to its subject matter; is not intended to benefit any third party; shall be binding on the respective successors in interest of the parties; and shall be governed by the law of the State of xxx.
